StoriaShort Terms of Use

Please read these Terms of Use carefully as they contain important information regarding your legal rights, remedies and obligations. These Terms govern your access to and use of the StoriaShort mini drama service made available through TikTok Minis (the “Mini Drama”) and related services, content, features and functionality (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use the Services.

These Terms form the contractual relationship between you and One Smart Technology Company Limited, a company incorporated in Hong Kong (doing business as “StoriaShort”, also referred to as the “Company”, “we”, “us” or “our”). The Services are made available through the TikTok platform. Your use of TikTok itself is also subject to TikTok’s applicable terms, policies and guidelines.

AGREEMENT TO TERMS

1.1 These Terms govern your access to and use of the StoriaShort mini drama service made available through TikTok Minis, including its content, features and functionality. The Mini Drama and all related services are collectively referred to as the “Services”.

1.2 By accessing or continuing to use the Services, you acknowledge that you have read, understood and agreed to these Terms and our Privacy Policy.

1.3 By accessing the Services, you represent and warrant that you are at least 16 years old and have the legal capacity, right, power and authority to agree to these Terms. If applicable law in your jurisdiction requires a higher minimum age, that higher age requirement will apply.

1.4 We may update these Terms from time to time. Any amended Terms will become effective when posted through the Services or otherwise made available to you, unless a later effective date is stated. Your continued use of the Services after the effective date constitutes your acceptance of the amended Terms.

1.5 In these Terms, “we”, “our”, “us”, “Company” and “StoriaShort” refer to One Smart Technology Company Limited.

ACCESS TO THE SERVICES

2.1 The Services are provided through TikTok Minis and depend in part on systems, networks, technologies and services operated by TikTok and other third parties. We do not guarantee that the Services will always be available, uninterrupted, secure or error-free.

2.2 We may modify, suspend or discontinue all or any part of the Services, including particular content, features or functionality, at any time, subject to applicable law.

2.3 When using the Services, you agree to:

a. comply with all applicable local, national and international laws and regulations;

b. not access, use or attempt to obtain information or data concerning another person without authorization;

c. not use the Services for any unlawful, fraudulent, malicious or unauthorized purpose;

d. not hack, reverse engineer, interfere with, disable, overburden or compromise the Services or any related systems, servers or security measures;

e. not infringe or misappropriate our intellectual property rights or those of any third party;

f. not submit, transmit or make available any material that is unlawful, defamatory, threatening, discriminatory, hateful, obscene, sexually explicit, exploitative, fraudulent or otherwise prohibited by applicable law or applicable TikTok policies;

g. not use automated means, scraping, crawling or other unauthorized methods to collect content or data from the Services; and

h. not circumvent or attempt to circumvent any access controls, content protection measures, payment mechanisms or other technical restrictions used in connection with the Services.

2.4 If you violate these Terms, we may suspend or terminate your access to all or part of the Services, subject to applicable law.

USER ACCOUNT AND TIKTOK LOGIN

3.1 Certain features of the Services may require you to be identified or authenticated through TikTok or another authorized authentication method. Where applicable, we may create or associate a user profile or account with information made available to us through TikTok and/or information you provide to us.

3.2 You represent that information you provide to us is accurate and that your use of the Services does not violate applicable law or these Terms.

3.3 You are responsible for activity carried out through your account or profile to the extent that such activity results from your acts or omissions. If you believe that your account or profile has been used without authorization, you should notify us and/or TikTok as appropriate.

3.4 We may suspend or terminate access to an account, profile or feature if we reasonably believe that you have violated these Terms, applicable law, or applicable platform policies.

SUBSCRIPTIONS, PURCHASES AND PAYMENTS

4.1 We may offer subscriptions, digital goods, virtual currency, episode access or other paid features through the Services (collectively, “Paid Services”). The available Paid Services, prices, billing periods and applicable terms will be presented to you before you complete a purchase.

4.2 Payments for Paid Services may be processed through TikTok Minis, TikTok’s applicable in-app purchase mechanisms, or other payment providers authorized for the Services. By completing a purchase, you authorize the applicable payment provider to charge the payment method associated with your transaction.

4.3 Subscriptions may automatically renew for successive billing periods where automatic renewal is offered and permitted by applicable law. Any applicable renewal price and billing frequency will be disclosed before purchase. You may cancel a subscription using the cancellation mechanism made available by the applicable payment provider or through the Services, as applicable. Cancellation generally takes effect at the end of the then-current paid period unless otherwise required by law or stated at the time of purchase.

4.4 Except where required by applicable law or expressly stated otherwise, payments for Paid Services are non-refundable. Refund requests may be subject to the policies and procedures of the applicable payment provider and applicable law.

4.5 You are responsible for applicable taxes, fees and charges associated with your purchase, except taxes imposed on our net income.

4.6 We may refuse, suspend or cancel a transaction where payment is declined, unauthorized, fraudulent, unlawful or reasonably suspected to involve abuse or other prohibited activity.

THIRD-PARTY SERVICES AND THE TIKTOK PLATFORM

5.1 The Services are made available within or through TikTok Minis. TikTok is a third-party platform provider and is not, solely by making the Services available through its platform, the provider of the content or services offered by the Company.

5.2 Your use of TikTok and TikTok Minis is subject to TikTok’s applicable terms, policies, community guidelines and other rules. If there is any conflict between these Terms and mandatory terms governing your use of TikTok, the applicable TikTok terms will govern the relevant platform relationship.

5.3 The Services may contain links, integrations or functionality provided by third parties. We do not control third-party services and are not responsible for their content, availability, security, privacy practices or terms. Your use of third-party services may be subject to separate terms and policies.

CONTENT AND INTELLECTUAL PROPERTY RIGHTS

6.1 “Content” means text, graphics, images, music, software, audio, video, short dramas, episodes, subtitles, artwork, information and other materials made available through the Services.

6.2 The Services and Content are owned by the Company and/or its licensors and are protected by copyright, trademark and other intellectual property laws. Except as expressly stated in these Terms, no ownership or other intellectual property rights are transferred to you.

6.3 Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view Content solely through the Services for your personal, non-commercial use.

6.4 You must not, except where expressly permitted by applicable law or authorized by us:

a. copy, reproduce, download, redistribute, publish, transmit, sell, rent, license or commercially exploit Content;

b. modify, adapt, translate or create derivative works from Content;

c. upload, stream, broadcast or make Content available through another website, application, platform or service;

d. remove, alter or obscure copyright, trademark or other proprietary notices;

e. use Content to train, develop or improve an artificial intelligence or machine-learning model without our prior written authorization; or

f. circumvent any technological measures used to protect Content or control access to the Services.

6.5 We do not claim ownership of User Content that you independently submit through a feature of the Services that expressly permits user submissions. If such functionality is available, you grant us the rights reasonably necessary to host, display, reproduce, process and distribute that User Content as required to operate and provide the relevant Services, subject to our Privacy Policy and applicable law.

SHORT DRAMA CONTENT

7.1 The Services may provide short drama episodes and related promotional or editorial materials. Content availability may vary by country, region, language, device, user eligibility and licensing restrictions.

7.2 We may add, remove, replace, restrict or modify the availability of Content at any time, including where required by licensing arrangements, legal requirements, platform requirements or other operational considerations.

7.3 You acknowledge that Content may include fictional depictions of violence, crime, relationships, mature themes or other subject matter. Content is intended for the applicable audience and may be subject to age, regional or other restrictions.

GENERAL DISCLAIMER

8.1 To the maximum extent permitted by applicable law, the Services and Content are provided on an “as is” and “as available” basis. We make no warranties or representations regarding the accuracy, completeness, reliability, availability, timeliness, security or suitability of the Services or Content.

8.2 We do not warrant that the Services will satisfy your requirements, operate without interruption, remain available in every location, or be free from errors, defects, viruses or other harmful components.

8.3 Nothing in these Terms excludes or limits any warranty, right or remedy that cannot lawfully be excluded or limited under applicable law.

LIMITATION OF LIABILITY

9.1 To the maximum extent permitted by applicable law, the Company and its affiliates, officers, directors, employees, agents, suppliers and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to your use of or inability to use the Services or Content.

9.2 To the maximum extent permitted by applicable law, the aggregate liability of the Company for all claims arising out of or relating to the Services, Content or these Terms will not exceed the greater of (a) the amount you paid to the Company for the relevant Services during the twelve months preceding the event giving rise to the claim, or (b) USD 100.

9.3 Some jurisdictions do not allow certain limitations or exclusions of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by applicable law.

INDEMNIFICATION

You agree, to the extent permitted by applicable law, to indemnify and hold harmless the Company and its affiliates, officers, directors, employees and agents from claims, losses, liabilities, damages and reasonable expenses (including reasonable attorneys’ fees) arising out of or relating to your unlawful use of the Services, your violation of these Terms or applicable law, or your infringement of the rights of any third party.

WAIVER

If we fail to enforce any provision of these Terms, that failure will not constitute a waiver of our right to enforce that provision later. Any waiver must be made in writing and will apply only to the specific instance for which it is given.

TERMINATION

12.1 By Company. We may suspend or terminate your access to the Services, in whole or in part, if permitted by applicable law, including where you materially breach these Terms or applicable platform policies.

12.2 By User. You may stop using the Services at any time. If you have an active subscription or other Paid Service, you should cancel it through the applicable payment provider or cancellation mechanism before stopping use if you do not wish to incur further charges.

12.3 Effect of Termination. Upon termination, your right to access or use the Services and any applicable license to Content will end, except for provisions that by their nature should survive termination, including intellectual property provisions, disclaimers, limitations of liability, indemnification and governing law.

GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and interpreted in accordance with the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law principles. Subject to any mandatory consumer protection or other rights that cannot lawfully be waived, any dispute arising out of or in connection with these Terms shall be referred to and finally resolved by the courts of Hong Kong.

PRIVACY

Our collection, use, disclosure and processing of personal information in connection with the Services are described in our Privacy Policy. By using the Services, you acknowledge that you have reviewed the Privacy Policy.

CHANGES TO THE SERVICES AND TERMS

We may modify these Terms or the Services from time to time to reflect changes in our business, technology, legal requirements, platform requirements or other circumstances. Where required by applicable law, we will provide notice of material changes. Your continued use of the Services after the applicable effective date constitutes acceptance of the revised Terms.
